1. Who you are contracting with

These terms form a binding agreement between you and highkey ("we", "us", "our"), the provider of the Villa Costing service (the "Service"). By creating an account or using the Service you agree to these terms.

2. Eligibility and authority

You confirm that you are of legal age and, if using the Service on behalf of an organisation, that you have authority to bind that organisation.

3. The Service

The Service provides hospitality-focused villa costing, expense, booking and profitability tooling. Features available to you depend on your selected plan.

4. Acceptable use

You must not misuse the Service. In particular, you must not:

• Use the Service for unlawful, fraudulent or deceptive purposes, including spam.
• Infringe intellectual property or other rights of any person.
• Probe, scan, attack, scrape or otherwise interfere with the security or integrity of the Service.
• Upload malware or attempt to disrupt other users.

5. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it up to date.

6. Intellectual property

We and our licensors retain all right, title and interest in the Service, including its software, documentation and branding. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan.

7. Restrictions

You may not reverse engineer, decompile, resell, redistribute or circumvent technical limits of the Service, except where applicable law expressly permits.

8. Your content

You retain ownership of the content you input. You grant us a limited, worldwide license to host, store and process that content solely to provide the Service.

9. Payments, subscriptions and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, currencies, taxes, cancellation and refund mechanics are governed by Paddle's Checkout / Buyer Terms in addition to these terms.

Subscriptions renew automatically at the end of each billing period (monthly or annual, depending on the plan you select) until cancelled. You can cancel at any time from your account billing settings or via the Paddle customer portal.

10. Service availability

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue features at any time.

11. Warranties and disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

12. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising from or relating to the Service is limited to the fees you paid to us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special or incidental damages, including loss of profits, data or goodwill. Nothing in these terms excludes liability that cannot be excluded by law.

13. Indemnity

You agree to indemnify us against claims arising from your content, your unlawful use of the Service or your breach of these terms.

14. Suspension and termination

We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends and we may delete your data after a reasonable export window.

15. Governing law

These terms are governed by the laws of the jurisdiction in which highkey is established, and any disputes will be subject to the exclusive jurisdiction of its competent courts, unless mandatory consumer law provides otherwise.

16. Changes

We may update these terms from time to time. Material changes will be notified through the Service or by email.
